1. Scope
These Terms of Service (the "Terms") govern your use of AuditToDesk (the "Service"), operated by SAGBRAIN CORPORATION ("we", "us"). By accessing or using the Service you agree to these Terms.
The Service is for businesses only: companies, and individuals using the Service for the purposes of their business. It is not available to consumers as defined in Article 2(1) of the Japanese Consumer Contract Act. By agreeing to these Terms you represent and warrant that you are using the Service as a business, for the purposes of that business.
2. The Service
The Service performs automated AI diagnosis of a public website URL across six pillars — accessibility, SEO, security, performance, UI/UX, and legal compliance — and introduces web agencies listed after our review, based on the diagnostic results.
3. Accounts
- You must provide accurate and current information when creating an account.
- You are responsible for keeping your password confidential.
- You must be at least 18 years old to use the Service.
- If you use the Service on behalf of a company or other organisation, you represent and warrant that you are authorised to accept these Terms on its behalf.
4. Prohibited use
- Scanning websites you do not own or have explicit permission to scan, particularly for the purpose of vulnerability discovery.
- Attempting to bypass rate limits, SSRF defences, or scanner sandboxing.
- Using information obtained from the Service for malicious purposes or to harm third parties.
- Scraping or reverse-engineering the Service to build a competing product.
- Manipulating agency marketplace reviews or matching outcomes.
5. Fees & payment
Paid plans are billed according to the prices listed on the Pricing page, processed via Stripe. Prices shown exclude tax; Japanese Consumption Tax (10%) is added to the amount charged where required by Japanese tax law. Charges are fully refundable, for any reason, within 7 days of your first payment — no questions asked. You may cancel at any time; once the 7-day window has passed, charges are non-refundable.
6. Intellectual property
All content, software, and design of the Service are owned by us or our licensors. You retain ownership of data you submit (e.g., URLs you scan), and grant us a non-exclusive licence to process that data for the purpose of providing the Service and producing aggregate, anonymised statistics.
7. Termination
You may cancel your account at any time. We may suspend or terminate accounts that violate these Terms without prior notice.
8. Disclaimer
- The Service is provided as is. We make no warranty as to the accuracy, completeness, currency, usefulness or fitness for a particular purpose of the diagnostic results or any other information provided through the Service.
- Diagnostic results are an automated analysis of the information we could retrieve from the target site at the time of the scan. They are not a substitute for professional legal or technical advice, vulnerability assessment (including penetration testing), or certification of compliance with any law or standard. You are responsible for decisions and changes you make based on them.
- The Service relies on services provided by third parties (such as AI analysis, page-speed measurement and vulnerability databases). We make no warranty as to their content, continued availability or changes.
- We may suspend or stop all or part of the Service without prior notice for system maintenance, incident response, the suspension of a third-party service, or other unavoidable reasons.
- Any dealings between you and an agency introduced through the Service (including quotes, contracts and the performance of work) are between you and that agency; we are not a party to them. We make no warranty as to the content, quality or performance of an agency's work.
- If a third party brings a claim against us arising from your breach of these Terms (including scanning a website you are not authorised to scan), you will compensate us for the resulting loss, including reasonable legal fees.
9. Limitation of liability
- Where we are liable to you in connection with the Service (including for any matter described in Section 8), our liability is limited to the amount you paid us for the Service in the 12 months before the event giving rise to the claim. We are not liable for damage arising from special circumstances (whether or not we foresaw or could have foreseen them), lost profits, loss of data, loss of business opportunity, or damage based on claims by third parties.
- Section 8 and the preceding paragraph do not apply to damage caused by our wilful misconduct or gross negligence.
10. Exclusion of organised crime groups
You and we each represent and warrant that neither you nor we, nor any of our respective officers or equivalent persons, are — or will at any time become — a member of a boryokudan (organised crime group), a person for whom fewer than five years have passed since ceasing to be such a member, an associate member, an affiliated company, a corporate racketeer, a group engaging in criminal activities under the pretext of social movements, a crime group specialising in intellectual crime, or any equivalent person (collectively, "Organised Crime Groups").
You and we each undertake not to engage, whether directly or through a third party, in violent demands, unreasonable demands beyond legal entitlement, threatening conduct or violence, damage to the other party's reputation or interference with its business through the spreading of false rumours, deception or force, or any equivalent conduct.
If a party breaches this section, the other party may terminate the agreement under these Terms in whole or in part and suspend the Service immediately, without notice or demand. The terminating party bears no liability for any loss the breaching party suffers as a result.
11. Changes
We may revise these Terms from time to time. Material changes will be communicated by email or in-app notice at least 30 days before they take effect. Continued use after the effective date constitutes acceptance.
12. Governing law
These Terms are governed by the laws of Japan. The Tokyo District Court shall have exclusive jurisdiction over any disputes arising from or relating to the Service.
